If there’s a change or addition to any of the information in your Articles of Organization, you’ll need to update your record with the state. However, this doesn’t always require an amendment. You can make a change to your state LLC records in a number of ways:
The laws of your particular state—and the specific change you’re making—will determine whether or not an amendment is required.
Changing your LLC’s duration, purpose or name? You’ll nearly always need to file an amendment (unless you’re in one of the few odd states like Oregon, which requires restated articles for name changes).
Changing other content, such as registered agent, principal address, or member/manager information? The requirements vary widely state to state. To give you an idea, Georgia doesn’t require an amendment for any of these changes—updates are made on the annual registration form instead.
In some states there’s more than one option. For instance, you can make a change via amendment OR with another form. This sounds annoying, but it can save you money if you’re savvy. Say you’re making lots of changes—you may be able to file a single amendment instead of 5 different forms. Or, if you’re filing a single, simple change, you can avoid forking over steep amendment fees. For instance, Maryland charges $100 for an amendment but only $25 to file a Change of Principal Office form.
